1. Acceptance of Terms

By accessing or using our Services, you ("you," "your," or "Customer") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization. If you do not agree, do not use the Services.

2. Definitions

• "Account" means your unique user credentials to access the Services.
• "Customer Data" means all electronic data or information submitted by you to the Services.
• "Documentation" means our user guides, help files, FAQs, and other explanatory materials.

3. Provision of Services

3.1. Service Availability

We will use commercially reasonable efforts to make the Services available 24/7, subject to scheduled maintenance or emergency downtime.

3.2. Support

We provide email-based technical support during our normal business hours, as described in our support policy.

4. Registration and Accounts

4.1. Account Setup

To use certain features, you must register for an Account and provide accurate, complete information. You are responsible for safeguarding your credentials and all activity under your Account.

4.2. Account Security

Notify us immediately of any unauthorized use. We may suspend or terminate an Account for security reasons or suspected violations of these Terms.

5. License Grant and Restrictions

5.1. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Services and Documentation for your internal business purposes.

5.2. Restrictions

You shall not, and shall not permit any third party to:

• Copy, modify, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble the Services
• Rent, lease, sublicense, or resell the Services
• Circumvent or disable security features
• Use the Services to store or transmit malicious code or infringing content
• Violate laws, regulations, or third-party rights

6. Customer Data

6.1. Ownership

You retain all rights in your Customer Data. We process and store Customer Data solely to provide the Services, as further described in our Privacy Policy.

6.2. Data Protection

We will maintain administrative, physical, and technical safeguards to protect Customer Data against unauthorized access or disclosure.

7. Fees, Payment, and Taxes

7.1. Fees

You agree to pay all fees specified in your Order Form or subscription plan. Unless otherwise stated, all fees are non-refundable.

7.2. Payment Terms

Invoices are due within thirty (30) days of the invoice date unless otherwise agreed in writing. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

7.3. Taxes

You are responsible for all sales, use, VAT, and other taxes associated with your use of the Services, excluding taxes based on our net income.

8. Proprietary Rights

All intellectual property rights in the Services, Documentation, and related technology are and will remain our exclusive property or that of our licensors. No rights are granted except as expressly set forth in these Terms.

9. Confidentiality

Each party will treat the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. "Confidential Information" includes non-public business and technical information disclosed in connection with these Terms.

10. Term and Termination

10.1. Term

These Terms commence on the date you first access the Services and continue until all Accounts are terminated.

10.2. Termination for Convenience

You may terminate your subscription at any time by providing written notice before your next billing cycle.

10.3. Termination for Cause

Either party may terminate if the other party materially breaches these Terms and fails to cure within thirty (30) days after written notice.

10.4. Effects of Termination

Upon termination, your right to access the Services ends. We may delete or archive your Customer Data in accordance with our Data Retention Policy.

11. Disclaimers

The Services are provided "as-is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

12. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Services is limited to the amount you paid us in the twelve (12) months prior to the event giving rise to the claim. In no event will we be liable for indirect, incidental, special, or consequential damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Genii Hut and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, or expenses arising out of:

• Your use of the Services in violation of these Terms or applicable law
• Your Customer Data or content provided to the Services

14. Changes to Services and Terms

We may modify the Services at any time. We will notify you of material changes to these Terms via email or posting on our website. Continued use of the Services after notice constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law principles. Any dispute arising under or related to these Terms shall be resolved exclusively in the courts located in Cebu City, Philippines.

17.1. Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, or agency relationship.

17.2. Severability

If any provision is held unenforceable, the remainder will remain in full force and effect.

Our failure to enforce any right will not constitute a waiver of that right.
