These Terms of Service (“Terms”) govern your use of the software-as-a-service applications, websites and related services (the “Services”) provided by Genii Hut Technologies Corp. (“Genii Hut”, “we”, “our” or “us”).
01Acceptance of terms
By accessing or using the Services, you agree to these Terms and our Privacy Policy.
- If you sign up on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
- If you do not agree to these Terms, do not use the Services.

- Account
- Your unique user credentials for accessing the Services.
- Customer Data
- All electronic data or information you submit to the Services.
- Documentation
- User guides, help files, FAQs and other explanatory materials.
03Provision of services
3.1 Service availability
We use commercially reasonable efforts to keep the Services available 24 hours a day, 7 days a week, except during scheduled maintenance or emergency downtime.
3.2 Support
We provide email-based technical support during normal business hours, as described in our support policy.
04Registration and accounts
4.1 Account setup
Some features require an Account. You agree to provide accurate and complete information, and you are responsible for safeguarding your credentials and for all activity under your Account.
4.2 Account security
Notify us immediately of any unauthorised use of your Account. We may suspend or terminate an Account for security reasons or suspected violations of these Terms.
05Licence grant and restrictions
5.1 Licence grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Services and Documentation for your internal business purposes.
5.2 Restrictions
You may not, and may not allow any third party to:
- Copy, modify or create derivative works of the Services
- Reverse engineer, decompile or disassemble the Services
- Rent, lease, sublicense or resell the Services
- Circumvent or disable any security features
- Use the Services to store or transmit malicious code or infringing content
- Violate any laws, regulations or third-party rights
06Customer data
6.1 Ownership
You keep all rights in your Customer Data. We process and store it only to provide the Services, as described in our Privacy Policy.
6.2 Data protection
We maintain administrative, physical and technical safeguards to protect Customer Data against unauthorised access or disclosure.
07Fees, payment and taxes
7.1 Fees
You agree to pay the fees set out in your Order Form or subscription plan. Unless stated otherwise, fees are non-refundable.
7.2 Payment terms
Invoices are due within thirty (30) days of the invoice date, unless otherwise agreed in writing. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
7.3 Taxes
You are responsible for all sales, use, VAT and other taxes related to your use of the Services, excluding taxes based on Genii Hut’s net income.
08Proprietary rights
Genii Hut or its licensors own all intellectual property rights in the Services, Documentation and related technology. No rights are granted to you except those expressly stated in these Terms.
09Confidentiality
Each party will protect the other’s Confidential Information with at least reasonable care. Confidential Information means non-public business and technical information disclosed under these Terms.
10Term and termination
10.1 Term
These Terms begin when you first access the Services and continue until all Accounts are terminated.
10.2 Termination for convenience
You may end your subscription at any time by giving written notice before your next billing cycle.
10.3 Termination for cause
Either party may terminate if the other materially breaches these Terms and fails to cure the breach within thirty (30) days of written notice.
10.4 Effects of termination
Your access to the Services ends. We may delete or archive Customer Data in line with our Data Retention Policy.
11Disclaimers
The Services are provided “as is” and “as available”. Genii Hut disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free.
12Limitation of liability
To the maximum extent permitted by law, Genii Hut’s total liability is limited to the amount you paid in the twelve (12) months before the event giving rise to the claim. Genii Hut is not liable for any indirect, incidental, special or consequential damages.
13Indemnification
You agree to indemnify, defend and hold harmless Genii Hut and its officers, directors, employees and agents from any third-party claims, liabilities, damages, losses or expenses arising from:
- Your use of the Services in violation of these Terms or applicable law
- Your Customer Data or any content you submit to the Services
14Changes to services and terms
We may modify the Services at any time. We will notify you of material changes to these Terms by email or by posting on our website. If you continue to use the Services after notice, you accept the updated Terms.
15Governing law and dispute resolution
These Terms are governed by the laws of the Philippines, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the courts located in Cebu City, Philippines.

17General
17.1 Relationship of the parties
These Terms do not create a partnership, joint venture or agency relationship.
17.2 Severability
If any provision is found unenforceable, the rest of these Terms remain in effect.
17.3 Waiver
Failing to enforce a right does not waive that right.
